Customers in Japan contract under our Japanese terms. Customers in Hong Kong contract with our affiliate KATO INFORMATION TECHNOLOGY CO., LIMITED under its own terms. These terms do not apply to either.

1. Application

  1. These terms set out the conditions on which we provide the Service and the rights and obligations between you and us. They apply to everything relating to your use of the Service.
  2. The Refund and Cancellation Policy and the Privacy Policy form part of these terms.
  3. Nothing in these terms takes away any right you have as a consumer under the mandatory laws of the country, state or province where you live (see section 22).

2. Definitions

  1. You — the person or legal entity that enters into the contract for the Service.
  2. Business customer — a customer who enters into the contract for the purposes of a trade, business, craft or profession, including a company, partnership, sole trader or other organisation.
  3. Individual customer — a customer who is a natural person and enters into the contract wholly or mainly for personal, domestic or household purposes.
  4. Authorised User — an individual whom you authorise to use the Service on your behalf.
  5. Content — text, images, email, websites and the like that you create, store or send.
  6. AI output — text, images and the like generated by the AI features of the Service.
  7. External AI service — the third-party generative AI technology the Service uses.
  8. Reseller — the Stripe affiliate that sells and charges for your subscription, as described in section 6.

3. Who may subscribe

  1. The Service is offered under these terms to customers located in Taiwan, Singapore, Australia, New Zealand, the United States (all states and the District of Columbia) and Canada.
  2. Individual customers who live in the Province of Quebec, Canada, are not accepted.
  3. When you register, you must declare:
    1. the country (and, in the United States and Canada, the state or province) in which you are located — for an individual customer, where you live; for a business customer, where your business is established; and
    2. whether you are a business customer or an individual customer.
  4. You confirm that what you declare is accurate and complete, and you agree to tell us promptly if it changes. We rely on your declaration to decide which terms, prices, taxes, server location and statutory rights apply to you. Where a declaration is inaccurate, we may suspend the Service or terminate the contract, and we may take steps to correct taxes charged.
  5. If you are an individual, you must be at least 18 years old and have legal capacity to enter into this contract. Persons under 18 may not subscribe to the Service.
  6. You must not use the Service from, or for the benefit of a person in, a country or region subject to comprehensive sanctions under the laws of Japan, the United States or another applicable jurisdiction, and you confirm that you are not a person subject to such sanctions.

4. Registration and account

  1. You apply to register in the manner we specify. The contract is formed when we accept your application and your first payment is confirmed. We may decline an application.
  2. You must not share individual login credentials. You are responsible for ensuring that your Authorised Users keep their credentials secure, and for looking after your own ID, password and two-factor authentication. You bear responsibility for loss arising from inadequate management or use by others, except to the extent the loss is caused by our breach of these terms. Tell us immediately if you become aware of unauthorised use.

5. What we provide, and changes

  1. The Service provides AI-assisted website creation, AI-assisted email drafting and management, hosting for websites and email on domains that you hold, and related operational support.
  2. Domains. We do not register, renew or transfer domain names for customers under these terms. You obtain and manage your own domain through a registrar of your choice (see section 12).
  3. Marketplace. The AIITO Pro Marketplace (requests for work from third-party professionals) is not offered under these terms.
  4. Server location. We host your website and email on servers located in the region associated with the country you declared (at the date of these terms: Singapore for Singapore; Sydney, Australia for Australia and New Zealand; Tokyo, Japan for Taiwan; the United States for the United States; Toronto, Canada for Canada). See the Privacy Policy for details.
  5. We may change what the Service provides where the change is in the general interest of users, or where it is consistent with the purpose of the Service and the change is necessary and reasonable.
  6. Where a change materially reduces what you receive, we will tell you by email to your registered address at least 30 days beforehand, and you may cancel before it takes effect without penalty. If you do, we refund the unused portion of any fees you have paid in advance.

6. Prices, payment and who charges you

  1. Prices are in United States dollars and exclude tax. The prices for each plan are shown on our pricing page and at checkout. At the date of these terms they are set out in the Annex.
  2. Payments are handled by Stripe Managed Payments. Your subscription is sold to you and charged by a Stripe affiliate acting as reseller and merchant of record (the "Reseller") (Sold through Link, LLC (United States)). Purchases are shown as "Sold through Link". **Your card or bank statement will show the charge as `LINK.COM* AIITO`.** The Reseller's own buyer terms, shown at checkout, also apply to the payment.
  3. Tax is added at checkout. The Reseller calculates, collects and remits any sales tax, VAT or goods and services tax that applies where you are located. The amount of tax is shown before you pay and on the receipt.
  4. Currency. Prices are set in US dollars. Checkout may display and charge the price in your local currency, converted by Stripe at the rate shown at checkout. Your card issuer may apply its own fees or exchange rate.
  5. Receipts and invoices are issued by the Reseller and sent to you by email.
  6. Fees are paid monthly in advance and renew automatically every month until you cancel. The renewal date is the same day of the month as your first payment; where you subscribe on the 29th, 30th or 31st, we bill on the last day of any month that has no such date. Dates and times in these terms are Japan time (UTC+9) unless stated otherwise.
  7. To avoid the next charge, cancel before your renewal date. You can cancel online at any time (see the Refund and Cancellation Policy). You may also manage the subscription on the Link website (link.com).
  8. Reminders. Before your subscription's annual anniversary, and where the law where you live requires it, we or the Reseller send you a reminder that the subscription will continue to renew.
  9. Price changes. We may change the price of your plan by giving you notice by email at least 30 days before the change applies to you. The new price applies from the first renewal after that period. If you do not agree, you may cancel before the change applies.
  10. Failed payments. If a payment fails, we suspend the Service after a grace period of three days. Your service content is then kept for 30 days from suspension, and paying within that time restores the account. After 30 days the account and its service content are deleted. Billing, transaction, security and legal records may be retained for longer as described in the Privacy Policy.
  11. Disputes over a charge. Questions about a charge, payment method or receipt may be raised with us or with Link support. Where a chargeback is raised without good reason, we may suspend the Service or terminate the contract.

7. What you must not do

  1. Anything unlawful under the laws of Japan or the place where you or your website's audience are located, or contrary to public order and morals.
  2. Infringing the rights of us or others, including intellectual property and privacy.
  3. Sending spam, indiscriminate or bulk email, or mail you have no permission to send, including in breach of anti-spam laws such as the US CAN-SPAM Act, Canada's Anti-Spam Legislation, Australia's Spam Act 2003, New Zealand's Unsolicited Electronic Messages Act 2007 and Singapore's Spam Control Act.
  4. Phishing; distributing malware or viruses; operating command-and-control servers; publishing fraudulent sites.
  5. Storing or distributing child sexual abuse material, pirated or infringing material, or other unlawful or harmful content.
  6. Impersonation, unauthorised access, exploiting vulnerabilities, port scanning, or reverse engineering.
  7. Placing an unreasonable load on the Service or its infrastructure (CPU, memory, I/O, transfer, inodes, mail queue and the like), or interfering with its operation.
  8. Cryptocurrency mining without our permission.
  9. Reselling or sublicensing the Service without our consent.
  10. Anything else we reasonably determine to be inappropriate, acting in good faith.

8. Action on misuse and notices of infringement

  1. Where we reasonably believe that you have breached section 7, including following our review of an abuse report, we may take proportionate action such as suspending the Service, removing affected content or terminating the contract.
  2. Where the matter is urgent — ongoing attack, large-scale spam, or a risk to other users — we may act first and notify you afterwards.
  3. Reports of infringing or unlawful content may be sent to abuse@aiito.co. We handle them by notice and takedown, and we may terminate the accounts of repeat infringers.
  4. Copyright notices (including notices from the United States) may be sent to info@aiito.co.
  5. We may disclose information to the extent required by law or by a lawful request from an authority.

9. Content and AI output

  1. Rights in your Content remain yours. You grant us the scope of use necessary to operate the Service (storage, transmission, backup, fault investigation).
  2. We do not claim rights in AI output. AI output is not guaranteed to be accurate, complete, current or original. It may resemble the work of others, and similar output may be generated for other users. It is not legal, medical, tax or other professional advice.
  3. You are responsible for checking AI output before you send, publish or rely on it. Please treat it as a draft prepared for you to review, not as finished work.
  4. You are interacting with an AI system when you use the AI features. Messages from the AI assistant are generated automatically and are labelled as such.
  5. To provide the AI features we send your input to an external AI service. The provider we use (at the date of these terms, Anthropic, PBC in the United States), where your input is processed, and how long the provider may keep it are set out in section 4 of our Privacy Policy. Under the terms on which we use that provider, input and output are not used to train AI models.
  6. You are responsible for ensuring that your Content does not infringe the rights of others.
  7. What you enter into the AI features will often contain personal information about other people — your own clients, correspondents and staff. You confirm that you are entitled to submit it, that you have given any notice and obtained any consent required to do so, and that you will not submit personal information that is excessive or unnecessary for what you are asking the AI to do. Please do not enter sensitive information (such as health information) unless it is necessary.
  8. The AI features may carry out changes that can be undone — such as creating or editing your website — at your request without waiting for you to approve each one ("automatic execution"). By making a request to the AI features, you agree to automatic execution. You can undo a change made by automatic execution by asking the AI features or from the screens we provide. Operations that are hard to undo — such as deleting a page, or changing email addresses, domains or site settings — are carried out only after you approve them.
  9. The AI features depend on external AI services that we do not control, and may be unavailable for a period — for example, where a provider stops offering its service in your country, or while we change provider. While they are unavailable, nothing you enter is sent to any external AI service. We may change the external AI services we use; before we do so we will update the Privacy Policy and, where the change is materially to your disadvantage, give you notice under section 20. This does not affect any right you have under the Refund and Cancellation Policy or section 5.

10. Your customers' personal information

Where you use the Service to host websites or email that contain personal information about other people (for example, your customers or staff), you decide what that information is and why it is processed, and we process it on your behalf to provide the Service. You are responsible for complying with the privacy laws that apply to you.

11. Email

  1. You must not use the Service to send spam or to send mail in bulk without permission.
  2. We may set sending limits to protect deliverability for all users.
  3. We do not guarantee delivery of email. Delivery depends on the receiving provider, and mail may be treated as spam or rejected for reasons outside our control. This does not affect our duty to use reasonable care and skill in operating the mail service.

12. Domains and DNS

  1. You are responsible for obtaining, renewing and managing your domain, including its registration details, DNS settings, transfers and expiry. The registrar's terms apply between you and your registrar.
  2. Where you manage DNS yourself, we are not responsible for outages caused by your settings.

13. Resources and limits

Storage, transfer and other allowances are as specified for each plan. Where usage substantially exceeds the allowance, or affects other users, we may ask you to move to a higher plan, or may restrict the Service after giving you reasonable notice (or without notice where the matter is urgent).

14. Backups

  1. We take backups for the purpose of operating the Service. These are for our operational purposes and are not a substitute for your own backups.
  2. We do not guarantee that data can be restored from a backup. Please keep your own copies of anything important.
  3. Nothing in this section affects our duty to use reasonable care and skill in taking and keeping backups.

15. Availability, interruption and termination of the Service

  1. We do not offer a service level agreement and we do not guarantee a particular level of availability. This does not affect our duty to use reasonable care and skill in providing the Service, or any remedy set out in the Refund and Cancellation Policy.
  2. We may interrupt the Service without prior notice where necessary for urgent maintenance, or because of failure of equipment, a natural disaster, or an act of a third party.
  3. We will give advance notice of planned maintenance by email, in the dashboard or on our website.
  4. We may terminate all or part of the Service, giving at least 30 days notice by email to your registered address. If we do so for reasons other than your breach of these terms, we refund the unused portion of any fees you have paid in advance.

16. Support

Support is provided by email in English and Japanese during Japan business hours. It covers the operation of the Service. It does not extend to programming for you, to the content of your business, or to products of others that we do not provide.

17. Limitation of liability

  1. This section does not apply to the extent that the law where you live does not allow it (see section 22). In particular, if you are a consumer in Australia or New Zealand, see section 22.3 and 22.4.
  2. Except where our wilful misconduct or gross negligence is involved, our total liability in respect of the Service arising from our ordinary (slight) negligence is limited to the fees you paid in the 12 months before the event giving rise to the claim.
  3. Except where our wilful misconduct or gross negligence is involved, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, that was not reasonably foreseeable.
  4. Nothing in these terms excludes or limits our liability:
    1. for death or personal injury caused by our negligence;
    2. for fraud or fraudulent misrepresentation;
    3. for wilful misconduct or gross negligence; or
    4. which cannot otherwise lawfully be excluded or limited, including under the Consumer Contract Act of Japan and the consumer laws referred to in section 22.
  5. We are not responsible for disputes between you and other users or third parties, except to the extent caused by our breach of these terms.

18. Exclusion of anti-social forces

You represent and warrant that you are not, and are not associated with, an organised crime group or other anti-social force. If this is untrue, we may terminate the contract without notice.

19. Termination and your data

  1. You may cancel at any time. Cancellation and refunds are governed by the Refund and Cancellation Policy.
  2. Your account is suspended at the end of the period you have paid for. We keep your service content and operational account data for 30 days from suspension, and then delete it. We may retain billing, transaction, security and legal records for longer where reasonably necessary or required by law. The same 30-day rule applies after a failed payment.

20. Notices and changes to these terms

  1. We give notice by email to the address you registered, in the dashboard, or by publishing on the Service. Where a notice affects your rights, your charges, or the continuation of the Service, we send it by email to your registered address. Notice by email is treated as given when sent to your registered address and not returned to us as undeliverable. Please keep your registered email address up to date.
  2. We may change these terms where the change is in the general interest of users, or where it is consistent with the purpose of the contract and the change is necessary and reasonable (Article 548-4 of the Civil Code of Japan). We will publish the revised terms and the date they take effect on the Service in advance.
  3. Where a change is materially to your disadvantage, we will also tell you by email to your registered address at least 30 days beforehand, and you may cancel before it takes effect without penalty, in which case we refund the unused portion of any fees you have paid in advance.

21. Assignment

  1. You may not assign your rights or obligations under these terms without our consent.
  2. You agree that we may transfer the Service, together with this contract and your personal information, as part of a transfer of all or part of our business, provided that the transferee agrees to be bound by these terms. We will tell you by email at least 30 days before the transfer takes effect, and you may cancel before it takes effect without penalty, in which case we refund the unused portion of any fees you have paid in advance.

22. Governing law, your statutory rights and jurisdiction

  1. Governing law. These terms are governed by the laws of Japan.
  2. Your mandatory rights are not affected. If you are an individual customer, nothing in these terms deprives you of the protection of the mandatory provisions of the consumer protection laws of the country, state or province where you habitually reside (Article 11 of the Act on General Rules for Application of Laws of Japan).
  3. Australia. If you are a consumer under the Australian Consumer Law, our services come with guarantees that cannot be excluded. For major failures with the service, you are entitled to cancel your service contract and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to compensation for any other reasonably foreseeable loss or damage from a failure in the goods or service.
  4. New Zealand. If you are a consumer, nothing in these terms limits your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986. If you are acquiring the Service for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply, and that it is fair and reasonable for you to be bound by this.
  5. Taiwan. If you are a consumer, nothing in these terms limits your rights under the Consumer Protection Act, including the right to cancel a distance contract within 7 days described in the Refund and Cancellation Policy.
  6. United States and Canada. Some states and provinces do not allow the exclusion or limitation of certain warranties or of liability for certain damages. Where that is the case, those exclusions or limitations apply to you only to the extent the law permits.
  7. Singapore. Nothing in these terms limits your rights under the Consumer Protection (Fair Trading) Act 2003 or the Unfair Contract Terms Act 1977 of Singapore to the extent they apply.
  8. Jurisdiction.
    1. If you are a business customer, the Osaka District Court has exclusive jurisdiction in the first instance over any dispute relating to the Service (the same court as in our Japanese terms).
    2. If you are an individual customer, you may bring proceedings in the courts of Japan or, where the law where you live allows it, in the courts of the place where you live. We may bring proceedings against you only in the courts of the place where you live, except where applicable law permits otherwise.

23. Language

These terms are written in English, and the English version is the official version. Any translation is provided for convenience only. If there is any inconsistency, the English version prevails, except to the extent that applicable law requires otherwise.
